CJU Terms & Conditions
By registering for CJU (the “Event”), You agree to be bound to this CJU Terms and Conditions (the “CJU Ts&Cs”), which form a binding legal contract between the CJ Affiliate-invited guest(s) (“Invitee(s)” or “You” and/or “Your(s)”) and Commission Junction, LLC, a Conversant company (“CJ Affiliate”). If You are registering on behalf of another Invitee, You represent and warrant that: (a) You are duly authorized to do so; (b) You have made the Invitee(s) aware of these CJU Ts&Cs; and (c) those Invitees are bound these CJU Ts&Cs.
If applicable, You will be responsible for any federal, state, and local sales, use, value added, excise, duty and any other tax assessed, other than taxes based on CJ Affiliate’s net income, related to payment of fees for Your registration to the Event.
If CJ Affiliate receives your cancellation prior to August 15, 2017, You will receive a full refund of registration fees paid for the Event less processing fees. If CJ Affiliate receives Your cancellation between August 15, 2017, and September 8, 2017, You will receive a fifty percent (50%) refund of registration fees paid for the Event less processing fees. If CJ Affiliate receives Your cancellation after September 8, 2017, You will not receive a refund of registrations fees paid for the Event.
Admission and Attendance
Your registration entitles You to attend the Event, as specified in Your registration confirmation. Your invitation or registration is not transferable without CJ Affiliate’s written consent (email acceptable). CJ Affiliate reserves the right to revoke your registration with prior written notice to You (email acceptable), in its sole discretion. All uninvited or unregistered guests may be immediately removed from the Event and the Event premises, at CJ Affiliate’s discretion.
By registering for and/or attending the Event, You represent and warrant the following:
- You are an Invitee;
- You are at least twenty-one (21) years old;
- Your attendance or behavior at the Event will not create a disruption or hinder the Event or the enjoyment of the Event by other attendees;
- Other than as provided by the Event, You will not bring any outside alcohol to the Event:
- You will not solicit, encourage, or assist other attendees of the Event to work directly with You outside of CJ Affiliate’s network for services similar to those offered by CJ Affiliate;
- You will comply with all requirements, policies, or regulations of the Event, including but not limited to those of its various premises; and
- You will not engage in illegal or unethical conduct on, at, or around the Event.
If You are not in compliance with any of the above or are otherwise in breach of these CJU Ts&Cs, CJ Affiliate may revoke Your registration or remove You from the Event, in its sole discretion, with or without notice and You may or may not be entitled to a refund of any fees paid for the Event, as CJ Affiliate determines.
Use of Likeness
By attending the Event, You grant CJ Affiliate the right to record, film, photograph, or capture Your likeness at the Event in any media now available or hereafter developed and to distribute, broadcast, use, or otherwise globally to disseminate, in perpetuity, such media without any further approval from You or any payment to You.
Other than any intellectual property rights of the Event’s sponsors or speakers, CJ Affiliate retains all intellectual property rights in and to the Event, the Event content, and all materials distributed at or in connection with the Event. You may not use or reproduce any such content, materials, trademarks or other trade names appearing at the Event without the prior written permission of CJ Affiliate.
You shall to indemnify, defend and hold CJ Affiliate and its parents and subsidiaries, and their respective directors, officers, shareholders, employees, agents, and attorneys, harmless from any liability, loss, claim or expense, including reasonable attorneys' fees, related to Your breach of these CJU Ts&Cs or Your noncompliance with any other requirements, policies, or regulations related to the Event.
Limitation of Liability
EXCEPT AS REQUIRED BY LAW, NEITHER CJ AFFILIATE NOR ITS AFFILIATES SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL COSTS, DAMAGES OR LOSSES ARISING DIRECTLY OR INDIRECTLY FROM THE EVENT OR OTHER ASPECT RELATED THERETO OR IN CONNECTION WITH THESE CJU TS&CS. THE MAXIMUM AGGREGATE LIABILITY OF CJ AFFILIATE FOR ANY CLAIM IN ANY WAY CONNECTED WITH, OR ARISING FROM, THE EVENT OR THESE CJU TS&CS, WHETHER IN CONTRACT, TORT, OR OTHERWISE (INCLUDING ANY NEGLIGENT ACT OR OMISSION), SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO CJ AFFILIATE UNDER THESE CJU TS&CS.
Disclaimer of Warranty
THE EVENT IS PROVIDED ON AN “AS-IS” BASIS. CJ AFFILIATE DISCLAIMS ALL WARRANTIES, OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, AND MERCHANTABILITY, RELATED TO THE EVENT OR ANY MATERIALS RELATED THERETO OR OFFERED AT THE EVENT. NEITHER CJ AFFILIATE NOR ITS AFFILIATES ACCEPT ANY RESPONSIBILITY OR LIABILITY FOR RELIANCE BY YOU OR ANY PERSON ON ANY ASPECT OF THE EVENT OR ANY INFORMATION PROVIDED AT THE EVENT.
Choice of Law and Attorneys’ Fees
These CJU Ts&Cs shall be governed by and construed in accordance with the laws of the State of Texas without giving effect to principles of conflicts of law thereof. Further, the parties expressly consent to the exclusive jurisdiction and venue in the United States District Court for the Northern District of Texas, Dallas Division, or the District Courts of Dallas County, Texas, and all applicable appellate courts. The prevailing Party of any litigated dispute arising out of or relating in any way to these CJU Ts&Cs shall receive its reasonable attorneys’ fees, together with its reasonable costs and expenses incurred resolving the dispute, as part of the judgment.
CJ Affiliate shall not be liable by reason of any failure or delay in the performance of its obligations hereunder for any cause beyond CJ Affiliate’s reasonable control, including, but not limited to, electrical outages, riots, insurrection, acts of terrorism, war, fires, floods, earthquakes, explosions, and other acts of nature, provided that such default or delay cannot be reasonably circumvented by the CJ Affiliate.
If any provision of these CJU Ts&Cs is held by any court of competent jurisdiction to be illegal, null or void, or against public policy, the remaining provisions shall remain in full force and effect. The parties shall in good faith attempt to modify any invalidated provision to carry out the parties’ stated intentions. The waiver of any breach of any provision under these CJU Ts&Cs by any party shall not be deemed to be a waiver of any preceding or subsequent breach, nor shall any waiver constitute a continuing waiver.
Any obligations which expressly or by their nature are to continue after termination, cancellation, or expiration of these CJU Ts&Cs shall survive and remain in effect after such happening.
You may not assign these CJU Ts&Cs to a third party without CJ Affiliate’s prior express written consent, which consent will not be unreasonably withheld or delayed.
Entire Agreement, Amendment, Counterpart
These CJU Ts&Cs contains the entire agreement and understanding of the parties and supersedes all prior agreements and understandings between the parties, whether oral or written, regarding the subject matter hereof. These CJU Ts&Cs may only be amended or modified by a written instrument that describes the alteration, amendment or modification, signed by an authorized representative of each party. These CJU Ts&Cs may be signed in one or more counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same Agreement.
These CJU Ts&Cs shall be binding upon and inure to the benefit of the Parties and their respective successors and permitted assigns. Each Party agrees that it has had the opportunity to review these CJU Ts&Cs with an attorney and neither Party shall be considered the drafter.
